Terms of Service

1. Acceptance of Terms

By accessing or using EzEpoch ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

EzEpoch is an AI training platform that provides:

• AI model training configuration and optimization
• AI Guardian monitoring and recommendations (Patent Pending)
• Cloud GPU deployment package generation
• Training session management and billing
• Data processing tools (DataLab Pro)

3. User Accounts and Registration

3.1 Account Creation

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Free Trial

New users receive one (1) free training session for models up to 8 billion parameters. No credit card is required. This trial is provided at our discretion and may be modified or discontinued at any time.

4. Subscription Plans and Billing

4.1 Subscription Tiers

Current plans (beta pricing — locked-in rates for early subscribers):

• Free Trial ($0): 1 training session, models up to 8B parameters, no credit card required. Full platform access including AI Guardian.
• Essential ($59/month): Unlimited training sessions, models up to 20B parameters, AI Guardian Auto-Pilot, crash prevention & recovery, EzSetup included free.
• Pro ($149/month): Unlimited training sessions, models up to 200B parameters, AI Guardian with Smart Chat, DataLab Pro + EzSetup + EzSetup API included free, priority support, early access features.

4.1a Add-On Products

The following standalone products and one-time sessions are available separately or as part of plan bundles:

• Single Training Session ($9.99 one-time): One session up to 70B models with full AI Guardian monitoring.
• Large Model Session ($19.99 one-time): One session up to 200B models with full AI Guardian monitoring.
• DataLab Pro ($9.99/month): Desktop application for data cleaning, AI training pair generation, model quantization, and RAG building. Included free with Pro plan.
• EzSetup ($4.99/month): AI dependency resolver — auto-fix Python/PyTorch/CUDA conflicts. Included free with Essential and Pro plans.
• EzSetup API ($9.99/month): Full REST API access for CI/CD integration. Included free with Pro plan.

Pricing is subject to change. Subscribers at beta pricing retain their rate for the duration of continuous active subscription.

4.2 Session Usage

Training sessions are initiated only when training actually begins, not during package creation or configuration. Essential and Pro subscribers have unlimited sessions within their plan limits. Free Trial and one-time session purchasers use their allocation upon training start.

4.3 GPU Costs

Important: EzEpoch subscription fees are SEPARATE from GPU rental costs. You rent GPUs directly from providers like RunPod, Vast.ai, or Paperspace. EzEpoch does not charge for GPU usage.

4.4 Billing

Subscriptions are billed monthly in advance. All fees are non-refundable except as specified in our Refund Policy.

5. Refund Policy

5.1 Automatic Refunds

• Training failures within 15 minutes: Automatic session refund
• First training session: Extended 30-minute grace period
• Technical errors (CUDA, memory, configuration): Always refunded regardless of time

5.2 Manual Refunds

• Manual refund requests accepted up to 60 minutes after training start
• One "oops" refund per month for any reason
• Refunds processed as session credits, not monetary refunds

6. Acceptable Use

6.1 Prohibited Uses

You may not use the Service to:

• Train models for illegal, harmful, or malicious purposes
• Generate content that violates applicable laws or regulations
• Attempt to reverse engineer or compromise the Service
• Share account credentials or circumvent usage limits
• Use the Service for cryptocurrency mining or similar resource-intensive activities unrelated to AI training

6.2 Account Abuse Prevention

STRICT LIMITATIONS - ONE ACCOUNT PER PERSON/HOUSEHOLD:

• One Account Per Person: Each individual is permitted ONE EzEpoch account only
• One Account Per Household: Multiple accounts from the same household or IP address are prohibited
• Disposable Emails Banned: Accounts created with temporary/disposable email services will be immediately suspended and deleted
• Multiple Free Trials Prohibited: Attempting to create multiple accounts to claim multiple free trials is strictly forbidden
• Email Verification Required: All accounts must be verified with a legitimate email address within 48 hours or will be suspended

6.3 Registration and Abuse Monitoring

We actively monitor and enforce the following restrictions:

• IP-Based Limits: Maximum of 3 accounts per IP address per day; maximum of 5 accounts per IP per 30 days
• Device Fingerprinting: We track device and browser fingerprints to detect duplicate accounts
• Credit Card Validation: For paid subscriptions, credit cards are verified to prevent duplicate accounts using different emails
• User Behavior Analysis: Unusual patterns may trigger account review

6.4 Consequences of Violation

Violation of these abuse prevention measures will result in:

• Immediate Account Termination: All duplicate/fake accounts will be permanently deleted
• Loss of Service Access: Your ability to use EzEpoch may be permanently banned
• Loss of Data: All training data, packages, and configurations will be permanently deleted with no recovery option
• No Refunds: All paid subscriptions associated with abusive accounts are forfeited without refund
• Legal Action: We reserve the right to pursue legal remedies for fraud or theft of services

6.5 Reporting Abuse

If you discover abuse or violations, please report immediately to: abuse@ezepoch.com

7. Intellectual Property

7.1 Service Ownership

The Service, including all software, algorithms, and proprietary AI Guardian technology (Patent Pending), is owned by ARC Technologies LLC and protected by intellectual property laws.

7.2 User Content

You retain ownership of your training data and models. We do not claim ownership of content you upload or models you train.

7.3 Generated Models

You own the AI models you train using the Service. However, you are responsible for ensuring your use complies with the original model's license terms.

8. Data and Privacy

8.1 Data Processing

We process your data solely to provide the Service. Training data is stored securely and used only for your training sessions.

8.2 AI Guardian Monitoring

Training metrics and performance data may be analyzed by our AI Guardian system to provide recommendations. This data is anonymized and used to improve the Service.

8.3 Data Retention

Training data is retained for 30 days after training completion, then automatically deleted unless you specify otherwise.

9. Disclaimers and Limitations

9.1 Service Availability

The Service is provided "as is" without warranties. We do not guarantee uninterrupted service or specific training outcomes.

9.2 AI Recommendations

AI-generated recommendations are provided for informational purposes only. You are responsible for evaluating and implementing any suggestions.

9.3 Third-Party Services

The Service integrates with third-party platforms (cloud GPU providers, AI model repositories). We are not responsible for third-party service availability or performance.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARC TECHNOLOGIES LLC AND WIL HURLEY SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from third-party cloud GPU provider failures
• Models that fail to train, converge, or meet your expectations
• Data loss, corruption, or unauthorized access to your training data
• AI monitoring recommendations that prove ineffective
• Costs associated with cloud GPU resource usage exceeding our estimates

Total Liability Cap: Our total liability shall never exceed the amount you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless ARC Technologies LLC, Wil Hurley, and their affiliates from:

• All claims, damages, losses, liabilities, and expenses arising from your use of the Service
• Your violation of these Terms or any applicable laws
• Your training data, models, or content infringing on third-party rights
• Models you train being used for illegal, harmful, or malicious purposes
• Any actions taken by your trained AI models
• Your negligence or willful misconduct

12. AI Model Responsibility

12.1 User Responsibility for Trained Models

YOU ARE SOLELY RESPONSIBLE FOR:

• The behavior, outputs, and consequences of any AI model you train using EzEpoch
• Ensuring your training data is legally obtained and does not violate third-party rights
• Complying with all applicable laws, regulations, and ethical guidelines for AI model deployment
• Obtaining necessary licenses for source models and ensuring derivative models comply with those licenses
• Ensuring your models do not generate harmful, illegal, or infringing content

12.2 No Warranty on Model Quality

WE MAKE NO WARRANTIES:

• That your trained models will meet your specifications or expectations
• That trained models will be useful, accurate, reliable, or error-free
• That AI monitoring recommendations will improve your training results
• That models will converge, avoid overfitting, or achieve target performance metrics

13. Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted service. The Service may be unavailable due to:

• Scheduled maintenance or upgrades
• Unforeseen technical issues or system failures
• Third-party service outages
• Force majeure events beyond our control

We are not liable for service interruptions or training session losses due to unavailability.

14. Termination

14.1 Termination by Us

We may immediately terminate or suspend your account at any time for:

• Violation of these Terms or our Acceptable Use Policy
• Creating multiple accounts to circumvent trial restrictions
• Using disposable/temporary email addresses
• Suspicious activity indicating fraud or abuse
• Non-payment of subscription fees
• Any illegal or harmful activity

14.2 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

14.3 Data After Termination

Upon account termination:

• All training data, packages, and configurations are permanently deleted within 7 days
• All models and outputs stored in your account are permanently deleted
• No data recovery or export options will be available
• All subscriptions and sessions are forfeited

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use of the Service constitutes acceptance of modified Terms.

16. Dispute Resolution

16.1 Informal Resolution

Before initiating any legal proceedings, you agree to contact us at legal@ezepoch.com to attempt to resolve disputes informally for at least 30 days.

16.2 Binding Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration under the rules of the American Arbitration Association, except where prohibited by law.

17. Governing Law

These Terms are governed by the laws of the United States and the state where ARC Technologies LLC is registered, without regard to conflict of law principles.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

19. Entire Agreement

These Terms constitute the entire agreement between you and ARC Technologies LLC regarding the use of the Service and supersede all prior agreements and understandings.
